The IRS defines the responsible party by who ultimately owns or controls the entity, or exercises ultimate effective control, with practical authority over its funds and assets. Except for government entities, that responsible party must be a natural person, not another company.
Three control maps
These are simplified, fictional preparation examples, not IRS determinations. Arrows describe the stated control facts; they do not classify the LLC for tax purposes.
One owner, no company in between
Elena is the sole owner. Under the operating documents, she controls the LLC and directs the use of its funds.
- Elena · individualOwns and controls the business and its funds.
- Harbor Example LLCThe existing U.S. LLC applying for an EIN.
Review for line 7a: Elena is the individual to check against the IRS test on these facts. Keep the supporting ownership and control documents.
A holding company sits in the middle
Mira controls the holding company and, through it, directs the applicant LLC and its funds. The intermediate company is the legal member; the stated ultimate controller is Mira.
- Mira · individualExercises ultimate control on these facts.
- Example HoldingsOwns the applicant LLC; an intermediate entity.
- Orchard Example LLCThe U.S. applicant whose funds Mira directs.
Review for line 7a: Trace the authority to Mira. Do not stop at the holding company’s name or substitute its EIN for the individual’s line 7b entry.
An ownership chart does not explain control
Two members each own half of an LLC. The available chart shows percentages, but says nothing about who directs the entity or disposes of its funds.
- Two membersEqual interests shown on the ownership chart.
- Control authority?Operating agreement and actual authority still to review.
- Cedar Example LLCThe applicant; line 7a is not resolved by this chart.
Next step: Obtain the missing control evidence. If more than one individual meets the responsible-party test, the IRS says to list the person you want it to recognize. Do not choose solely by who has an SSN, signed formation papers or opened an email account.
Keep a private evidence record
Make a local note for the person preparing the official SS-4. Record document references, not SSNs or ITINs. This website does not need those identifiers.
- Applicant
- Existing LLC’s legal name and state formation record. Keep the applicant distinct from every intermediate owner.
- Ownership links
- Each entity or individual in the chain, with a dated member register, operating agreement or equivalent supporting record.
- Control facts
- Who can actually direct the entity and its funds? Note the relevant agreement, appointment or authority and any unresolved conflicts.
- Individual to review
- The proposed line 7a name, why the facts meet the IRS test, reviewer and date. If unresolved, leave the preparation decision open and obtain advice.
Take the record with you
Download the blank control record (TXT)An EINForeigner preparation aid, not an IRS form. Save and edit it privately; it is not uploaded or filed by this page.
Keep three roles separate
Responsible party: the individual identified using the IRS control test. A holding company, registered agent’s address or formation service name does not answer that test by itself.
Nominee: someone with limited authority during formation and little or no control over the entity’s assets. The IRS says nominees cannot apply for an EIN and should not be listed on SS-4. Identify the actual responsible party before applying.
Third-party designee: authorization to receive the EIN and answer questions about SS-4 is a separate part of the form. It does not by itself establish ultimate control. See the signature and third-party designee guide.
Then check the individual’s line 7b
The SS-4 instructions call for the responsible party’s SSN or ITIN for a non-government applicant. Enter “foreign” or “N/A” only if that person both lacks an SSN or ITIN and is ineligible to obtain one; an entry is required. Living abroad or owning through a company alone does not establish that exception.
This record is for preparing a new application. If an EIN already exists and the responsible party changes, use the separate Form 8822-B change record rather than treating this chart as an update filed with the IRS.
- IRS Instructions for Form SS-4, revised December 2025: lines 7a–7b and “Responsible party defined.”
- IRS: Responsible parties and nominees: control definition, multiple responsible parties and nominee limits; page reviewed/updated August 22, 2026.
Checked October 31, 2026. Geography: U.S. federal EIN application criteria. Unit: a person’s role and authority, not a count of businesses. The diagrams and blank record are our own explanatory aids; they are not IRS statistics, a country comparison or a determination about your structure.
