First identify what actually changed
The IRS describes the responsible party as the person who owns, controls or exercises effective control over the entity and directly or indirectly manages its funds and assets. Except for government entities, the responsible party must be an individual. A person with only limited formation authority is a nominee; the IRS says nominees should not be listed as responsible parties.
Gather the record that establishes the change and its effective date. A new contact email, a new bookkeeper, or a new mailing service by itself does not establish that the responsible party changed. If the identity or date is uncertain, resolve that factual question before completing the form.
This record does not decide whether a separate ownership or entity-structure change requires a new EIN. It also does not select a tax classification or complete state, bank or other agency updates.
Match your evidence to the official fields
The current IRS download is Form 8822-B, revised December 2019. Its instructions are on page 2. Open both pages when preparing the form; this guide is a reading aid, not a replacement form.
- Boxes 1–3
- Which records does the change affect? The form asks you to check all affected boxes: business returns, employee plan returns and business location. Use the entity’s actual facts; this guide does not preselect them.
- Lines 4a–4b
- Identify the existing businessLine 4a is the business name; line 4b is its existing EIN. Keep the supporting IRS notice in your private file.
- Lines 5–7
- Separate old and new addressesLine 5 is the old mailing address, line 6 the new mailing address, and line 7 the new business location. Review which address facts also changed. Do not invent a move merely because you are reporting a new responsible party.
- Lines 8–9
- Identify the new responsible partyLine 8 asks for the new responsible party’s name; line 9 asks for that party’s tax identifier. The form expressly refers you to the SS-4 instructions for who can be a responsible party and which identifier to enter. The LLC’s EIN on line 4b is not an automatic answer for line 9.
- Line 10
- Confirm who can signThe instructions list an officer, owner, general partner or LLC member manager, plan administrator, fiduciary, or authorized representative. A representative signing for the taxpayer must attach a copy of the power of attorney. Retain the signed and dated form, title and supporting authority in your records.
- Where to file
- Use the form’s own destination tableThe table on page 1 routes the form by the old business address. Recheck it when sending. Do not reuse an SS-4 fax number or mailing destination for this different form, and do not attach Form 8822-B to a tax return.
Keep the reporting deadline and processing time separate
- When the change takes effectRecord the effective date and the document establishing it. Assign a person to prepare and review the notification.
- Within 60 days of the changeReport the responsible-party change using the current Form 8822-B. Do not treat the processing estimate as extra time to file.
- After sendingKeep a copy of the signed form and sending evidence. The form says processing generally takes 4 to 6 weeks; this is an estimate, not proof that the record has changed.
- Watch for the IRS confirmationThe IRS responsible-parties page says that if no confirmation letter has been received within 60 days, mail a copy of Form 8822-B marked “Second Request.” Keep the original sending date and check the current IRS instructions before following up.
A fictional handover file
Example Harbor LLC already has an EIN
Assume its documented control arrangements change and a different individual now meets the IRS responsible-party definition. The LLC name and business address stay the same for this example. No tax identifiers or real personal details are shown.
- Before
- Private record identifies the former responsible party and the source of that entry.
- Change
- Private change document establishes who now controls the entity and when the change took effect.
- Preparation
- The reviewer matches the existing business to lines 4a–4b, verifies the new party for lines 8–9, and confirms signing authority for line 10.
- Evidence retained
- Signed-form copy and sending evidence are filed first. The later IRS confirmation is stored as a separate event.
The file can show what was prepared and sent. Until a confirmation is received, it should not say that the IRS has completed the update.
