02 / Business changes

A changed business is not always a new EIN applicant.

Separate updates to the same LLC from the creation or termination of an entity. Use the IRS’s entity-specific list with the actual change record.

The starting point

The IRS says a new EIN is generally connected to a change in ownership or structure, while a name, address or responsible-party change does not require a new EIN. Its LLC list contains more specific cases. A broad headline is not enough to decide a restructuring.

Write the before and after facts

Keep one description of the entity before the event and one after it: organizing jurisdiction, members, tax classification, effective date and the document creating the change. A foreign owner moving countries is not automatically the LLC becoming a foreign-organized entity. A new trade name is not automatically a newly formed LLC.

This is a document comparison, not a recommendation to choose a classification or reorganize. If the change crosses several categories, keep the question open for qualified review rather than forcing it into the most convenient row. The guide does not cover every merger, conversion or acquisition.

Read the LLC section, not a rule for a different entity

The current IRS “When to get a new EIN” page says to get a new EIN when an existing LLC is terminated and a new corporation or partnership is formed. It says an LLC does not need a new EIN merely for a name or location change, a partnership-to-LLC conversion that stays classified as a partnership, or a change in tax election to corporation or S corporation.

Those statements concern the number. They do not establish eligibility for an election, approve a state conversion, or remove a separate filing requirement. The same IRS LLC list flags employment and excise-tax situations for a single-member LLC. If that is the issue, reconcile the LLC’s existing EIN, the owner’s EIN and the tax purpose with a professional; do not interpret the short list as an instruction to obtain a duplicate number whenever someone is hired.

Keep account updates on their own track

If the same entity only changed its responsible party, use the existing responsible-party update guide and current Form 8822-B instructions. If a name changed, use the IRS’s applicable business-name-change procedure. Confirming an EIN with a letter or transcript does not itself make an account update.

For an actual structural event, keep the entity-specific source paragraph, the effective document and the unresolved questions together. Record who will review the event and what conclusion was actually reached. A filing-service dashboard saying “new company” or “conversion” is not a substitute for the legal documents and the IRS category.

Change record: observation before conclusion

Keep these notes privately with the source documents. This is a reading checklist, not a form to complete or submit here.

Name or location only
IRS LLC list: no new EIN for this alone. Keep the change evidence and applicable account-update route.
Responsible party only
IRS general page: no new EIN for this change. Review the distinct update requirement.
LLC terminated; new corporation or partnership formed
IRS LLC list: a new EIN case. Document both entities and the termination/formation event.
Tax election to corporation or S corporation
IRS LLC list: no new EIN for the election alone. This is not advice that the election is available or desirable.
Other ownership, employment or structural facts
Use the applicable entity-specific rule and actual documents; a generic yes/no answer would overstate this guide.

Two fictional records

These examples contain no real EIN or applicant. They show what a record supports and what remains unanswered.

Fictional case 1

A move, with the same entity

Fictional Cedar Example LLC changes its correspondence location while the organizing entity remains the same.

Record and next check

The file records the old and new address, effective date and account-update question. It uses the IRS no-new-EIN statement for a location change.

What remains unproved

The number remaining the same does not prove that the IRS address record was updated.

Fictional case 2

An LLC ends and a new corporation is formed

The fictional owner’s documents show termination of Cedar Example LLC and formation of a separate corporation.

Record and next check

The file keeps both documents and the effective dates. It flags the IRS LLC new-EIN case for review and the new entity’s application process.

What remains unproved

This example does not decide whether a different state conversion or merger has the same result.
