Identify whose status is being certified
The IRS instructions for requesters of Form W-9 say a foreign person may not provide Form W-9 and direct requesters to the appropriate W-8 or Form 8233. For a disregarded entity with a U.S. owner, the owner is the relevant U.S. person. These are requester instructions, not a substitute for reading the certification on the actual form.
For a foreign individual who is the single owner of a disregarded entity, the W-8BEN instructions generally treat that owner as beneficial owner of the income received by the entity. A foreign entity owner raises a different review under W-8BEN-E and its exceptions. Passport nationality, mailing address and the LLC suffix do not establish tax residency or federal classification.
Ask what the request is for
- Save the original request, deadline and secure return channel. Is this a vendor-payment certificate, financial-account documentation, or a different compliance request?
- Identify the contract payee, the owner and who beneficially owns the particular income. Do not replace one with another merely to match an online form.
- Describe the payment: services, royalties, sale proceeds, partnership allocation or another category. Keep source and effectively connected income questions open for qualified review.
- Ask which alternative documentation the payer accepts when its portal offers only W-9. Do not invent an SSN or ITIN to bypass the portal.
W-8BEN is normally given to the withholding agent, payer or financial institution, not sent to the IRS. The instructions identify situations requiring other forms, including W-8ECI for applicable effectively connected income and W-8BEN-E for entities. A reduced treaty rate is a separate claim requiring its own support.
Keep the number and certification separate
Record which name and taxpayer number the relevant form calls for after its purpose is established. The LLC EIN, an owner’s U.S. taxpayer number and a foreign tax identifying number have different roles. This page supplies no placeholder rule and no tax-residency decision.
Keep the current form revision, exact signed copy and delivery record privately. If a preparer describes the LLC as a corporation, request the classification evidence before using that label. See the existing tax-election evidence guide.
Your private worksheet
Keep this record with your own source files. There is nothing to enter or upload here. Copy the headings, or open the plain-text sheet to save locally.
- Request
- Payer, date, requested form, purpose, deadline and independently verified secure channel.
- Entity and owner
- LLC legal name; owner type; number of owners; classification evidence and relevant date. Record unknowns explicitly.
- Payment facts
- Contract, activity, payee and beneficial owner; payment category; source/ECI questions for review, without assuming the answer.
- Status evidence
- Reviewer’s supported residency/classification conclusion and source documents; never infer it from the EIN.
- Response decision
- Form and revision selected by the responsible reviewer; unresolved portal requirement; retained copy and date actually delivered.
Two fictional files to compare
Invented examples with no real applicant, taxpayer number or live account.
A U.S. LLC and a foreign individual
Cedar Example LLC has one foreign individual owner and no classification election in its file. A customer’s portal requests W-9.
Review result: Keep the request open. Ask the payer to review documentation of the owner and payment under the applicable W-8 instructions. The EIN does not justify signing a U.S.-person certification.
The owner is a company
Harbor Example LLC’s sole owner is another entity. Someone suggests copying an individual’s W-8BEN.
Review result: Identify the entity owner and the applicable form/exception with the reviewer. Do not replace the owner with its director to fit an individual form.
What completes this review?
A useful handoff identifies the certifying person, the payment and the unresolved question. Suggested message to adapt privately: “Your request asks for [form] for [purpose]. Our documented ownership and classification are [facts]. Please confirm the appropriate documentation and secure submission channel.” Do not include tax identifiers in an unsecured message.
